Terms of Service

These Terms of Service ("Terms") govern your use of Knockoff, a timesheet and payroll-preparation service provided by Corpworks Limited ("Knockoff", "we", "us", "our"). By signing up for or using Knockoff, you agree to these Terms. If you don't agree, please don't use the service.

1 Definitions

2 The service

Knockoff lets you record your crew's hours, automatically calculate paid time and breaks, approve entries, and export payroll-ready data (a CSV that opens in Excel, formatted for Smartly and usable with Xero, MYOB or any other payroll system). It's a tool to help you prepare payroll — it does not calculate tax, pay wages, or provide payroll, accounting, employment or legal advice. You remain responsible for your own payroll, tax and employment obligations.

3 Accounts and eligibility

To use Knockoff you must be a business (or acting on behalf of one) in New Zealand, and be at least 18 years old. You're responsible for keeping your sign-in access and your crew's PINs secure, and for all activity under your account. Let us know promptly if you think there's been unauthorised access.

4 Free trial

New accounts start with a 7-day free trial, with no credit card required to begin. At the end of the trial, you'll need to choose a paid plan and provide payment details to keep using the Service. We may change or withdraw trial offers at any time.

5 Plans, pricing and GST

Our current plans are:

All prices are in New Zealand dollars and are exclusive of GST. New Zealand GST (currently 15%) is added at checkout. For example, the Starter plan is $35 + $5.25 GST = $40.25 per month. We may change our pricing from time to time; if we change the price of your plan, we'll give you reasonable notice and any change will apply from your next billing period.

6 Billing and payment

Paid plans are billed monthly in advance through our payment processor, Stripe. By subscribing, you authorise us (via Stripe) to charge your payment method on a recurring basis until you cancel. You're responsible for keeping your payment details current. If a payment fails, we may retry it and may suspend the Service until payment is made. Tax invoices and receipts are available through the billing portal.

7 Cancellation and refunds

You can cancel any time from the billing portal in your dashboard. When you cancel, your subscription remains active until the end of the current paid billing period, and you won't be charged again after that. There are no lock-in contracts and no cancellation fees.

Because plans are billed monthly, we generally don't provide partial refunds for the remainder of a billing period. If you've been charged in error, or something has genuinely gone wrong, contact us at hello@knockoff.co.nz and we'll work it out. Nothing in this section limits your rights under the Consumer Guarantees Act 1993 (see section 12).

You agree to use Knockoff lawfully and not to:

9 Your crew's information

When you add crew and their details, you confirm you're authorised to provide that information and to have it processed in Knockoff, and that you'll make your crew aware of how their information is used. Our handling of personal information is set out in our Privacy Policy. As between you and us, the business data and crew data in your account is yours.

10 Availability

We work hard to keep Knockoff available and reliable, but we don't guarantee it will be uninterrupted or error-free. We may carry out maintenance, updates or changes, and may occasionally need to suspend parts of the Service. We'll aim to minimise disruption where we can.

11 Intellectual property

Knockoff, including its software, design and branding, is owned by Corpworks Limited. These Terms don't transfer any of our intellectual property to you. You keep ownership of the data you and your crew put into the Service.

12 Consumer rights and liability

If you use Knockoff for the purposes of a business, you agree that, to the maximum extent permitted by law, the Consumer Guarantees Act 1993 and the guarantees in sections 9, 12A and 13 of the Fair Trading Act 1986 do not apply. Nothing in these Terms limits rights that cannot legally be excluded.

To the extent permitted by law, we are not liable for indirect or consequential loss, or for loss of profits, data or business, arising from your use of (or inability to use) the Service. Where we are liable, our total liability to you is limited to the amount you paid us for the Service in the three months before the event giving rise to the claim.

Knockoff helps you prepare payroll — it doesn't replace your own checks. You are responsible for reviewing hours before you approve and export them, and for meeting your payroll, tax and employment obligations.

13 Suspension and termination

We may suspend or terminate your access if you breach these Terms, if payment isn't made, or if we're required to by law. You can stop using the Service and cancel at any time. On termination, your right to use the Service ends; we may delete your data after a reasonable period in line with our Privacy Policy, so export anything you need first.

14 Changes to these Terms

We may update these Terms from time to time. When we make material changes, we'll update the "last updated" date above and, where appropriate, notify account owners. Continuing to use Knockoff after a change means you accept the updated Terms.

15 Governing law

These Terms are governed by the laws of New Zealand, and the New Zealand courts have jurisdiction over any dispute. Small disputes may also be dealt with through the Disputes Tribunal where eligible.
